GENERAL INFORMATION

BBC-LP does not in any way intend to:

When the Services are requested for the first time to BBC-LLP, the Customer may be provided with a user ID (hereafter also "USER") and password (hereafter also "PSW") to use for access to the Reserved Area on BBC-LLP's Website.

BBC-LLP has expressly reserved the right for removing to the Customer, and, at any time, USER and PSW and/or inhibit the new access into the Reserved Area, without have to none information and/or reasons in front of the Costumer.

DEFINITIONS

Other Beneficiary/ies - any person other than the Customer who is identified and provided for in the Form(s) as the recipient of Services.

Reserved Area - indicates the area dedicated to the Customer and accessible from the Website through the use of a USER and PSW granted by BBC-LLP.

BBC-LLP or Us (and derivatives) - Bright Business Consulting LLP, a British company, based in London W8 4DB, 58/60 Kensington Church Street, United Kingdom.

Customer, User or You (and derivatives) - the person who signs and/or accepts, even in electronic format or via the web, the Form(s) and is the beneficiary of the Services.

Contract - these UGC, the Form(s) and any other document in which specific reference is made in the Form(s) and/or in the UGC.

Fee - the sum of the price of each Service, expenses, costs incurred on behalf of the Customer, taxes and deductions applicable for the Services provided by BBC-LLP, as further outlined in clause 4.

Law – under English legislation.

Price List - the document that shows the cost or price of every Service published on the Website.

Form(s) - the document/s and/or modules in which the Services are identified and described.

Party or Parties - BBC-LLP and /or the Customer when indicated, respectively, individually or jointly.

Rules of the Reserved Area – Regulation (IUCAR) - refers to the regulations contained in Annex 1 of UGC.

Service/s - benefits that BBC-LLP provides in execution of the task, as provided in the Form(s).

Nominee Service/s - services that provide for the intervention of third parties as trustees.

Website or Site - www.bbc-llp.co.uk.

BBC-LLP Individual/s - any employee, contractor, supplier or consultant of BBC-LLP.

Reminders - better described in clause 26.

The definitions given above, together with those contained in these UGC, apply within the UGC of the Contract and Form(s).

SERVICES PROVIDED BY BBC-LLP - RIGHTS AND OBLIGATIONS

  1. The Services are identified and described in the Form(s) with reference to every aspect related thereto. Any change to these UGC shall be expressly agreed to in written form, and expressed in the Form(s)
  2. Services provided by BBC-LLP are listed and better described in BBC-LLP's Website and are conducted in the following areas of interest:

    - Formation Company e Tax Advisory
    - Marketing e Asset Company
    - Trust e Service Confidence

    The Form(s) drafted by BBC-LLP in relation to the type of Services will be sent directly to the Customer in consideration of the Services requested.

  3. In the course of providing the Services, BBC-LLP can enter into possession of confidential information that relate to the Customers and/or the activities they performed ("Confidential Information"). BBC-LLP will abide by, the use of the Confidential Information, as provided by the Law or by any eventual practices, taking account of any restrictions eventually imposed by authorities whose provisions are required to comply. BBC-LLP may disclose Confidential Information whenever it is required to do so for legal obligations or following requests for authority in which actions are required to comply, informing the Customer of that request as much as possible. BBC-LLP may also share information relating to the Customer or concerning their relationship with the Customer or the Services, including Confidential Information with BBC-LLP individuals, which are also obligated to confidentiality, for the provision of the Services and to facilitate the administration of its activities. The obligation of confidentiality shall not apply to Confidential Information which have fallen into the public domain. This clause does not preclude BBC-LLP to disclose, where deemed necessary, in a confidential manner, the Confidential Information to its insurers. 

FEES

  1. Unless otherwise specified in the Form(s), the Fees and expenses do not include VAT (if applicable). For providing the Services, BBC-LLP will be entitled to collect Fees. Specific provisions related to the Fees and its terms of payment are specified in the Form(s). The Fee may vary in respect to estimates or quotes provided, especially where delays or additional costs are the consequence of the lack of missing or incomplete information provided to BBC-LLP necessary for the provision of Services. The price payable for each Service is specified in the Price List published on BBC-LLP's Website. In case of discrepancy between the Price List and the Form(s), the Form(s) shall prevail as indicated.
    1. 4.1 It is expressly agreed that if the Fee for the Service is equal or not less than (two thousand) GPB 2,000.00, the Customer will pay the sum of (three hundred and fifty) GPB 350.00 to BBC-LLP as an advance expenses (including, by way of example: telephone expenses, postage or delivery, stamps, administration fees, bank charges, stamp duties, taxes endorsements, deposit or registration fees or cost, etc..), being understood that such expenses were to exceed the amount anticipated, BBC-LLP will invoice the difference in the amount of payment.
    2. 4.2 If for providing the Services, BBC-LLP Individuals travel away from the offices of London, the Customer will pay a further sum consisting of:
      (a) a fixed amount of (three hundred) GBP 300.00 a day for each BBC-LLP Individual, without having an obligation to justify the expenses to the Customer;
      (b) an amount equal to expenses that exceed the amount provided in paragraph 4.2 (a) and actually paid for the duration of the trip by any BBC-LLP Individual that are justified by appropriate supporting documents, will be charged to the Customer.
    3. 4.3 BBC-LLP reserves the right to increase up to a maximum of 30% (thirty percent) of the Fee for the Services relating to the provision that have continuous service periods, for each duration of the period and/or relevant to renewal of the Service.
    4. 4.4 The Fee for the Services relating to the provision that have continuous service periods, for the period starting form the signature on the Form and lasting on 31 December will amount to one, full annuality.
  2. 5. Unless otherwise provided in the Form(s), payment of the Fee shall be made in receipt of the invoice, so that the Customer can not use credits as a form of compensation or raise objections of any sort.

    1. 5.1 In the event of any unauthorized delay in the payment of the Fee by the Customer, BBC-LLP can claim interest to the extent provided by the law.
    2. 5.2 In the event of suspension or termination of the Contract, BBC-LLP will be entitled to full reimbursement of all costs and the payment of the Fee, plus any expenses and taxes provided by the law (if any).
    3. 5.3 When the Form(s) is addressed to multiple individuals and is not otherwise specified, each person is fully liable along with the others for the payment of the entire Fee.

CUSTOMER RESPONSIBILITIES AND OBLIGATIONS

  1. In no way is BBC-LLP limited to its obligations in connection with the Services, it will be the responsibility of the Customer:
    1. 6.1 the administration, management and the way of conducting its business;
    2. 6.2 the use, the degree of trust placed or the realization that decides to carry on opinions, suggestions, or, in general, Services provided by BBC-LLP;
    3. 6.3 taking on every decision that could have an influence on the Services, the results of the Services, and its interests or activities;
    4. 6.4 the achievement or realization of any benefit directly or indirectly connected to the Services and which requires implementation by the Customer.
  2. In the event that the type of Services requested by the Customer to BBC-LLP or in any case it is more efficient to run all or parts of the performance at the offices of the Customer or have use of facilities, computer systems or telephones, networks or software, the Customer will be responsible of the latter to ensure BBC-LLP access to such facilities and systems, taking the necessary security measures, making the virus check and obtaining all permits, authorizations and licenses necessary for this purpose (without charges or costs incurred by BBC-LLP).
  3. In order to enable the provision of Services by BBC-LLP, the Customer shall promptly provide, and by simple request to BBC-LLP, all information, assistance and access to the documents in its possession, custody or detention, or still under the control of its auxilliaries. In the event that the information and/or documentation are not in the possession, custody or detention, or in general, under the Customer's control, the Customer must do what is necessary to provide them to BBC-LLP. The Customer shall keep BBC-LLP informed of any information, update or development of which it becomes aware of and which can be relevant for the provision of Services on behalf of BBC-LLP.
  4. The Customer is responsible for the accuracy, truthfulness, completeness and correctness of information provided to BBC-LLP. BBC-LLP will refer to and will rely on instructions, warnings, and requests, verbal or in writing, of individual who may reasonably be authorized to act on behalf of the Customer.
  5. In the course of providing Services, BBC-LLP may receive information from the Customer or from other sources. BBC-LLP shall not in any way be held liable for any loss or damage suffered by the Customer as a result of information relevant to the Services provided or related records that were not revealed to BBC-LLP or are proven to be incorrect, false, or misleading, however, not entirely true, except in cases where the non-correctness, falsehood or inaccuracy of such information becomes evident without the need to perform any deep analysis or verification.
  6. When prompted, or under certain circumstances, BBC-LLP will communicate with the Customer by e-mail under the assumption that, by agreeing to this mode of communication, the Customer accepts the related risks (including those related to the security of information, the possibility of interception or unauthorized access, alteration or delay in the transmission or delivery of communication, the transmission of viruses or any other computer danger) and undertakes the use of an anti-virus in this case.

CONTRACT

  1. The Contract governs every aspect inherent to the provision of the Services and supersedes and replaces any other agreement, understanding, statement or representation made precedent in relation to the Services. Except as provided in clause 24, every amendment or variation to this Contract must be made in writing and signed by individuals with the necessary Power of Attorney. In case of conflict or inconsistency between the Form(s) and any other part of the Contract, the Form(s) shall prevail

WAIVER AND ASSIGNMENT OF THE CONTRACT

  1. Failure to exercise a right in which the Parties are entitled to, does not involve the waiver of such right.
  2. The Customer may not assign this Contract to any third party without the prior written consent of BBC-LLP.

LIMITATIONS OF LIABILITY

  1. BBC-LLP's responsibility in connection with the Services, where not excluded by the Law, will be regulated as follows.
    In the widest limits permitted by the Law and as specified below:
    - overall responsibility of BBC-LLP Individuals, individually and cumulatively, to the Customer and Other Beneficiaries
    - of any type
    - for any damages or losses suffered by the Customer (or by any other part) in relation to the provision of the Services
    - however, damages or losses caused, except only in cases of willful misconduct or gross negligence, is limited to an amount equal to the amount of Fees paid to BBC-LLP for Services attributable to the activity done by BBC-LLP that caused damage or loss to the Customer, as provided by in the Form(s).
  2. When there is more than one beneficiary of the Services ("Beneficiary") BBC-LLP's limitation of liability, referred to in clause 15 above, implies that the total amount therein should be split into parts for each Beneficiary. No Beneficiary may challenge the validity, enforceability or effectiveness of clause 15 on the basis of the fact that the distribution of the amount has not been agreed or that the share allocated to each Beneficiary is too modest. In this clause "Beneficiary" includes the Customer and Other Beneficiaries.
  3. Within the limits set out in clause 15, for any request for damages, it has to be taken into account every possible contributory by negligence of the Customer, of the Other Beneficiaries and any other party liable to the Customer or the Other Beneficiaries for the loss and damages incurred
  4. This clause applies to any claim relating to the Contract.
    1. 18.1 The Customer waives to make claims against BBC-LLP Individuals other than the contracting party with respect to any damage or loss alleged by the Customer or by the Other Beneficiaries, arising from or related to the Contract, without prejudice to BBC-LLP's responsibility and on behalf of BBC-LLP Individuals.
    2. 18.2 The Customer loses the right to make a claim against BBC-LLP for any damages or losses arising from or related to this Contract, if such claims against BBC-LLP are not made within sixty days from the date of occurrence.
    3. 18.3 BBC-LLP is not responsible for the use of Services that the Customer or Other Beneficiaries make and in particular, Nominee Services.

CLAIMS MADE BY THIRD PARTIES

  1. It is understood that in the event of default by the Customer to fulfill its obligations under the Contract, BBC-LLP will be indemnified and held harmless from any and all losses, damages, costs, expenses, liabilities (including legal fees) incurred as a result of requests or claims made by third parties in relation to such failure. In the event that the Customer has made a payment under this clause, the Customer shall not in any case ask BBC-LLP for a refund. In this clause, BBC-LLP identifies all BBC-LLP individuals and the term Customer also includes Other Beneficiaries.

TERM AND WITHDRAWAL

  1. The duration of Services relating to the provision that have continuous service periods, is not less than three years and are subject to a tacit renewal for another 3 (three) year period, unless terminated by one of the Parties that shall notify the other Party, within a period not less than 30 (thirty) months before the first expiration date or any further renewal date. It is epressly agreed by the Parties that the duration of said Services relating to the provision that have continuous service periods will be equivalent to the calendar year that is 1 January-31 December of each year; such Services relating to the provision that have continuous service periods will be provided starting from the 1 January further the Form' s signature date.
  2. To the extent permitted by the Law even after the conclusion of the Contract the following clauses of the UGC: 6, 10, 12-14, 15-19 and 22-28 will remain in effect.

AUTONOMY OF THE SPECIFIC TERMS AND MODIFICATIONS

  1. Each term or condition of this Contract constitutes an autonomous and independent provision: if one or more provisions of this Contract are held to be invalid or ineffective, the remaining provisions will continue, to the extent permitted by law, to be valid and effective.
  2. The Customer expressly agrees that BBC-LLP reserves the right to the terms and conditions provided in these UGC and in the Contract ("Changes") at any time, without the obligation to notify the Customer of the Changes. Any Changes will be noticed on the BBC-LLP's Website, so that the Customer continues to benefit from the Services even after the communication of Changes to the Website will be deemed to have expressly agreed to such Changes.

REPRESENTATION

  1. The Customer agrees and accepts the provisions of the Contract and the same for Other Beneficiaries, except in cases in which the Other Beneficiaries subscribe directly to the Contract. The Customer ensures that any Other Beneficiary on whose behalf the Contract has been signed for shall act as if he had personally signed the Contract and is bound. In any case, unless otherwise provided, the Customer remains solely and exclusively responsible for the payment of the Fees to BBC-LLP.

RESOLUTION CLAUSE AND REMINDERS

  1. Late or non-payment of even part of the Fees or other amounts due for any Reminders constitutes an immediate termination clause of the Contract.
  2. Except as provided for in clause 25, in the event of non-payment of all or part of the Fee, BBC-LLP is entitled to send the Customer payment reminders of which the Customer is obliged to pay BBC-LLP the following, additional amounts:
    - I Reminder    >  Six hundred GPB;
    - II Reminder   >  Nine hundred GPB;
    - III Reminder  >  Twelve hundred GBP;
    - IV Reminder  >  Eighteen hundred GBP.
    Please note that the reminders cannot be released prior to 12 days from one another. After the expiry date indicated in the IV Reminder, BBC-LLP will entrust the pending claim to a lawyer to get to recover the amount.

JURISDICTION

  1. This UGC are governed by English Law and any dispute relating to their interpretation or their execution will be submitted to the Courts of London.                                       27.1 The Contract is governed by English Law and any dispute relating to its interpretation or its execution will be submitted to the Courts of London.

EXECUTION OF THE CONTRACT

  1. At the full execution of the Service, BBC-LLP may issue a document ("Due Diligence Report" or "Due Diligence") certifying the provision of Services and the conclusion of the Contract.

PRIVACY

  1. Personal data (hereafter also "Personal Data"), of the Customer and Other Beneficiaries that are involved ("Data Subject") that BBC-LLP ("Data Controller") is in possession of are usually collected directly from the Data Subject and occasionally may be collected from third parties (for example, during the completion of specific tasks that involve the collection of data from suppliers, banks, consultants, etc. of the Customer. This Personal Data, in any case, are processed within the normal activity of the Data Controller, for:
    1. purposes strictly related to the management of the relationship with the Customer and with the Other Beneficiaries, such as, for example, the acquisition of information prior to the engagement, the fulfillment of the obligations arising from the Contract, as well as performance transactions relating thereto;
    2. purposes connected with the obligations laid down by the Law, regulations and the EU Law, as well as measures of authorities or entities entitled by the Law;
    3. monitor the use of the Website in order for to improve the range of Services offered to Customers.

    In relation to the indications of the handling of Personal Data, will be processed in a way ensuring the security and confidentiality and can be done by paper form, computer, and telematic suitable for storing, managing and transmitting Personal Data. The logic of processing will be strictly correlated with the purposes illustrated.

    Note that if the provision of the Services involves the processing of Personal Data of third parties with respect to the Customer (such as employees, customers, suppliers, subsidiaries, affiliates, or parties in general) is the responsibility of the Customer and the Other Beneficiaries to inform the parties and get, where due, the necessary consent to treatment by BBC-LLP of their Personal Data, provided that the request to the BBC-LLP to perform the Services means that the Customer (and the Other Beneficiaries), will have fulfilled the required obligations related to Privacy regulations (where due) on behalf of interested parties in favor of BBC-LLP.

    Customer Personal Data and of Other Beneficiaries may be communicated to the competent public authorities, as part of the fulfillment of specific provisions of Law or on the basis of legitimate action and, to the extent strictly necessary limits to any other parties involved in the execution of the assignment.

    Personal Data provided by the Data Subject may be shared with BBC-LLP Individuals involved in the provision of Services, as well as the related support staff.

  2. For the duration related to the management of the relationship with the Customer and with the Other Beneficiaries, at any time, BBC-LLP keeps the entitled to require the update or confirmation of the Personal Data. Without offering any exception whatsoever and without delay, the Customer and Other Beneficiaries have to provide to BBC-LLP the upgrade required.

ANNEX 1 - INFORMATION ON PROHIBITED USE OF THE RESERVED AREA

REGULATION (IUCAR)

This Regulation (IUCAR) - ("Regulation") sets out the guidelines for the proper usage of the Reserved Area and web software applications related thereto owned and/or in the possession of BBC-LLP made accessible to the User for either a fee or free of charge. All behavior contrary to the provisions in the Regulations will be considered to be prejudicial to BBC-LLP and make the Users liable for damages claimed by BBC-LLP.
Access to the Reserved Area and/or the usage of web-software and it contents presupposes the preventive and full acceptance of the Regulation by the User.
The Regulation is divided into the following sections:

GENERAL CONDUCT

The User agrees to use the Reserved Area and web-software contained therein for lawful purposes and in accordance with the Regulations, and therefore, is expressly forbidden to assign, transfer, distribute, resell or provide access to any third party that is not a representative or employee.

It is expressly forbidden for the User to use the Reserved Area and web software services to transmit, distribute or store material that contains viruses, worms, trojans or other harmful components or that are illegally intrusive.

It is expressly forbidden for User to use the Reserved Area and / or web software services in order to allow anyone the misappropriate use of personal information, breach, mitigation or otherwise violation of privacy or other personal rights or intellectual property, including without limitation, copyright Laws and the protection of patents, trademarks, trade secrets or other proprietary rights.

RESPONSIBILITY FOR THE CONTENT IN THE RESERVED AREA AND WEB-SOFTWARE SERVICES

BBC-LLP does not assume responsibility for the contents in the Reserved Area and web software services nor the news, information, document exchange or content of any kind that occurs through the use of the functions provided from the Reserved Area and web software. BBC-LLP does not monitor or exercise any editorial control over the content of documents in the Reserved Area, therefore, the User is solely responsible for the content in the above-mentioned documents and its eventual storage.

INAPPROPRIATE OR ILLEGAL CONTENT

It is expressly forbidden for the User to utilize the Reserved Area and / or web services software, to transmit, distribute or store inappropriate or illegal material, defamatory, indecent, obscene, pornographic that promotes gambling online or contrary to morality or that is generally contrary to the law or practice. Therefore, the User warrants that the usage of the Reserved Area and web software services does not violate any national or international law or regulation, including, but not limited to, the laws relating to the distribution, encryption or exporting of the content or any right of any third party.

FRAUDULENT AND MISLEADING CONTENT

It is expressly forbidden for the User to utilize the Reserved Area and web software services to transmit or distribute material containing fraudulent offers for goods and / or services or any advertising or promotional material containing statements, false claims or representations, deceptive or misleading or that compromise the image and integrity of BBC-LLP.

E-MAIL AND SPAM

It is expressly forbidden that the User utilize the Reserved Area and web software services to send publications or unsolicited e-mail messages, including, without limitation, including for example, commercial advertising or informational advertisements by mass spamming; it is also expressly forbidden for the User to:

  1. send e-mail publications or excessive email messages and / or with the intent to bother or disturb the recipient;
  2. continue to send publications or e-mail messages to a recipient who has already expressed the desire not to receive;
  3. publications or send e-mail messages with forged headers;
  4. send e-mail publications or dangerous e-mail messages, including, for example, "mailbombing".

All costs and expenses incurred by BBC-LLP for the management of eventual claims resulting from the unlawful conduct of the User will be charged to the User.

SECURITY VIOLATION

It is expressly prohibited for the User to violate or attempt to violate the security of the Reserved Area and the web software services and any network, system, server or third party account. In that regard, but not limited to, the User is expressly prohibited the following activities:

  1. access to data, servers, accounts, databases, etc. without authorization;
  2. attempt to survey, scanning or testing the vulnerability of a system;
  3. breach of the security or authentication measures without authorization;
  4. attempt to interfere, disturb or disactivate Service against any other User;
  5. counterfeit documentation;
  6. action in order to obtain unauthorized Services or for which you have not been authorized;
  7. attempt to use an account name or identity of any third party without having received authorization.

RIGHTS AND REMEDIES OF BRIGHT BUSINESS CONSULTING LLP

Should the User become aware of eventual content or activity that violates the Regulations they shall immediately prevent such content from being sent, transmitted or stored on the Reserved Area and on the web-software services.

If BBC-LLP becomes aware of eventual content or activities, which in its sole discretion, violate the Regulations, they may immediately block access to such content, suspend or discontinue access, Services and / or take any other action deemed appropriate.

BBC-LLP will make every effort to notify the User in advance of eventual suspension or termination of your access to the Reserved Area or web software services.

LIMITATIONS OF LIABILITY

BBC-LLP shall not be liable for any damage of any kind incurred to the User as a result of the usage of the Reserved Area and / or web software.

The User expressly undertakes to:

  1. indemnify and hold harmless BBC-LLP for all damages, claims, causes, costs or expenses incurred in connection with any breach of the Regulations;
  2. waive any right to reimbursement and/or compensation in connection with interruptions of usage or access to the Reserved Area and / or to the web software services owned resulting from a violation of the Regulations.

USER ACCOUNT E PASSWORD

To the User may be provided with a user ID (hereafter also “USER”) and password (hereafter also “PSW”) to use for access to the Reserved Area on BBC-LLP’s Website and/or the usage of web-software services.

BBC-LLP has expressly reserved the right for removing to the User, and, at any time, USER and PSW and/or inhibit the new access into the Reserved Area and/or to web-services, without have to none information and/or reasons in front of the User.

The following general terms and conditions - supplier (hereinafter referred to as “Supplier - General Conditions” or “SGC”) are applicable to all supply contracts existing between BBC-LLP and its Suppliers.

DEFINITIONS

BBC-LLP or We(and derivatives) – Bright Business Consulting LLP, English Company, with registered offices in London, W8 4DB, 58/60 Kensington Church Street, United Kingdom.

Website or Site: www.bbc-llp.co.uk

Reserved Area – it is the web space dedicated to the Supplier and accessible from the Website through a USER and PSW granted by BBC-LLP.

BBC-LLP Supplier or Supplier – BBC-LLP’s counterpart in the supply Contract.

Product/s – the goods or services supplied pursuant to the Contract.

Order/s – agreements, delivery or supply requests, as well as changes or additions to the same.

Form (s) – the forms relating to the Supplier drafted by BBC-LLP.

Contract – the SGC together with the Orders and/or the Forms.

Party or Parties – BBC-LLP and/or the Supplier when indicated severally or jointly, respectively.

Rules of the Reserved Area – Regulation (IUCAR) - refers to the regulations contained in Annex 1 of SGC.

Service/s – benefits that BBC-LLP, listed and better described in the Website.

Compensation/s or Fee/s – the amounts envisaged by clause 5 of the SGC.

Law – the English law.

The above definitions, together with those included in these SGC, are applicable within the SGC and the Forms.

GENERAL PRINCIPLES

  1. Only the following SGC shall govern the Orders issued and/or the purchase Contracts entered into by BBC-LLP. Any amendment and addition, as well as any Supplier’s sale condition different in part or in whole from these SGC, shall be valid only with specific and express written confirmation by BBC-LLP. The acceptance from or payment of the Products to the Supplier does not conclude the Contract.

ORDERS AND THEIR AMENDMENTS

  1. The Orders shall be in writing and/or submitted through the Forms present in the Supplier’s Reserved Area on the Website.

    2.1 The validity of any oral agreement, including amendments and integrations to these SGC, is subject to mandatory written confirmation by BBC-LLP.

    2.2 Any communication sent by fax or email shall also be considered as written confirmation.

    2.3 Cost estimates shall be binding and shall give no right to Fees of any kind for the Supplier, unless otherwise specifically agreed in writing between the Parties.

    2.4 If the Supplier fails to accept the Order in writing within 15 (fifteen) calendar days of receipt thereof, BBC-LLP shall be entitled to cancel the same.

SUPPLY OF PRODUCTS

  1. Deliveries or supplies different from the specifications provided in the Orders and/or Forms of BBC-LLP, shall be accepted with prior written consent of BBC-LLP.

    3.1 Agreed dates and terms shall be binding for the Supplier. The compliance with the delivery periods and delivery dates shall be determined by the date of receipt of the Products by BBC-LLP.

    3.2 If the Supplier is responsible for the set-up or installation of Products, unless otherwise agreed, the Supplier shall bear all the necessary incidental costs such as, for example, travel expenses, provision of equipment and daily allowances.

    3.3 If the Supplier is late in delivering the Products compared to the terms agreed upon and if the Supplier delivers the goods to places or persons different from those indicated by BBC-LLP, the latter shall have the right to refuse said delivery and shall have the right to claim for damages. The Supplier shall promptly inform BBC-LLP, if it foresees any difficulties that could hinder deliver or supply of the Products in good time and of the required quality. However, this shall not relieve the Supplier from liabilities for delays in carrying out the service.

    3.4 Unconditioned acceptance of a late delivery or supply of Products shall not mean nor shall be considered in any way or compared to a waiver by BBC-LLP to claim compensation for damages.

    3.5 Partial deliveries or supplies of Products shall normally be not acceptable, except if specifically agreed upon by BBC-LLP.

    3.6 In case of claims, quantities, weights and sizes ascertained by BBC-LLP when accepting the goods shall be considered.

    3.7 It is understood that BBC-LLP shall have the right to use the software and the relevant documentation relating to the Products, to the extent at service characteristics agreed upon and within the limits foreseen by use of said software.

    3.8 At the time of the supply, the Supplier shall deliver all documentation needed and suited to its regular use to BBC-LLP (for example instructions and operations manuals, installation and assembly ones and guarantee certificates, etc.).

    3.9 The Supplier shall supply the Products through its company. The Supplier shall only sub-contract the supply of services to third parties with prior written consent from BBC-LLP and anyway, in the latter hypothesis, the Supplier shall be personally liable towards BBC-LLP for all sub-contractor activities as if the Supplier itself had done them. In case of sub-contract, the Supplier shall incorporate these terms and conditions in the agreements with the sub-contractors (SGC).

    3.10 Service standards requested by BBC-LLP, configurations and purposes specified by the same, shall not relieve the Supplier from its obligation to supply solutions that are technically free of defects. The Supplier shall promptly inform BBC-LLP if the above service standards, configurations or purposes conflict with said solution, or if modifications or improvements to the service or for its purpose are required or appropriate for other reasons. The Supplier shall not claim additional services or modifications carried out without prior written permission from BBC-LLP.

    3.11 BBC-LLP shall be promptly informed in case of third party industrial patent or intellectual rights are needed to fulfil the Order, even if only at risk.

    3.12 Services carried out by the Supplier shall comply with the Contract and service purposes; the same provision shall apply to specific documentation. The Supplier shall comply with the general state of the science and art, applicable regulatory standards, consumer association guidelines, safety procedures and relevant measures.

    3.13 When fulfilling the Order, the Supplier shall respect BBC-LLP’s interests, adopting and taking all measures at its discretion (for example, choice of materials, accessories or spare parts) based only on objective examination.

    3.14 Unless otherwise foreseen in the Contract, drawings, descriptions, calculations and anything carried out by the Supplier or third parties said activity has been sub-contracted to, shall become BBC-LLP’s property when they are made and no sum shall be paid by the latter. Thus the Parties hereby agree that the Supplier and any third parties shall have no rights over said works which shall thus become BBC-LLP’s property, and, furthermore, the latter shall not pay anything for them to the Supplier; the Fee for their creation shall be considered included in the amount agreed upon with the Supplier and third parties when they were made. The originals of all the above documents shall be delivered to BBC-LLP as soon as they are made and completed. Documents made available by BBC-LLP shall be kept carefully in a safe place. Said documents and others like models, drawings, drafts etc. created or procured to fulfil the Order shall remain BBC-LLP’s property and shall be returned at the latest when the Order has been completed. BBC-LLP reserves all rights on documents made available, even when an invention patent has been granted or a use model been registered. Any right for the Supplier to keep them is hereby excluded.

    3.15 If informed of the service purpose, the Supplier shall guarantee the compliance of said services with the purpose declared. Any inspection or approval of service or parts of the service shall not influence the Supplier in carrying out the services and guaranteeing them. Acceptance shall follow approval of the complete service, not any use or payment of the same.

    3.16 BBC-LLP shall have the right to use and exploit, at its discretion, free of any right or claim by third parties, all results from fulfilling the services; including inventions and use and exploitation rights in compliance with the Copyright law, from the moment they are conceived and created, with no Fee due to the Supplier.

    3.17 Any inventions made by the Supplier regarding Contract, whether patentable or not, shall belong exclusively to BBC-LLP with no Fee due to the Supplier. The latter shall adopt suitable measures for said inventions to be transferred to BBC-LLP immediately, unless otherwise foreseen in this Contract.

FORCE MAJEURE

  1. In case of force majeure, labor disputes, interruption of activities outside BBC-LLP’s control, riots, government measures and other inevitable events, BBC-LLP is relieved from the obligation to accept the goods and/or services, according to the scheduled plan for the whole duration of such events. During such occurrences and in the 2 (two) following weeks, BBC-LLP shall be entitled – with no prejudice to any other right – to withdraw the Contract wholly or partially.

    4.1 The provisions of the above clause 4.1. are applicable also in case of labor disputes.

PRICE AND TRANSFER OF RISK

  1. The Fee for the Products to be supplied shall be agreed upon in the initial and specified Form for Order. The agreed Fees cannot be modified, unless otherwise agreed upon in written, on a case-by-case basis. Any additional cost shall be acknowledged by BBC-LLP, only if approved in advance and in writing.

PAYMENT TERMS

  1. The payment terms indicated in the initial Form shall be valid. Payment is subordinated to receipt of the invoice or of any other document valid for tax purposes. The payment terms agreed upon cannot be modified, unless otherwise agreed upon in writing, on a case-by-case basis.

CLAIMS FOR DEFECTS

  1. Acceptance of the Products shall be subjected and subordinated to inspection and/or control by BBC-LLP in order to verify the absence of flaws and defects, supply completeness and regularity. BBC-LLP shall promptly notify any defects found after their discovery. To this extent, the Supplier shall waive the objection to delayed notification of defects.

    7.1 The Products supplied by the Supplier and/or third parties shall be guaranteed for operating flaws and defects and shall be thus covered by the defect guarantees envisaged by the international law. For this purpose, the Parties shall agree that the term by which BBC-LLP shall report defects to the Supplier is forty-five working days from their discovery; in any case, the Supplier shall definitely waive its right to raise objections regarding any delay by BBC-LLP in reporting defects.

    7.2 In the event that the Supplier does not commence rectifying the defect immediately after a request by BBC-LLP, BBC-LLP shall be entitled to undertake such rectification or have it undertaken by a third party at the expense of the Supplier.

    7.3 In case it supplies Products without having full ownership of the same, the Supplier shall keep BBC-LLP safeguarded from third party claims.

    7.4 In case BBC-LLP incurs in costs for the supply of defective Products, the same shall be at the Supplier’s expense, specifically transport, delivery, working, labor, assembly, disassembly, material or costs for inspection and control.

    7.5 Even in case the supply has been already paid, this shall not affect in any way BBC-LLP’s right to challenge the same and to repeat payment, and claim for compensation for all damage suffered from the Supplier.

PRODUCT LIABILITY AND RECALL PROCEDURE

  1. In the event a Product liability claim is asserted against BBC-LLP, the Supplier shall be obliged to hold BBC-LLP harmless from such claims if and to the extent that the damage was caused by a defect in the Product supplied by the Supplier.

    8.1 If the cases under the above clause 8.1 occur, the Supplier shall sustain all costs and expenses, including those related to any possible legal action.

RIGHTS OF WITHDRAWAL AND TERMINATION

  1. BBC-LLP is entitled to withdraw from or terminate the Contract with immediate effect if:

    (a) There is or threatens to be a fundamental deterioration to the financial circumstances of the Supplier and as a result of this the performance of a supply obligation to BBC-LLP is in jeopardy;

    (b) The Supplier meets the criteria for insolvency or over-indebtedness, or the Supplier stops making its payments.

  2. If the Supplier performs only a partial supply, BBC-LLP shall have the right to cancel the whole Contract.
  3. If BBC-LLP withdraws from or terminates the Contracts according to the above-mentioned withdrawal and termination rights, then the Supplier shall compensate BBC-LLP for the loss or damage incurred as a result thereof.

CARRYING OUT WORKS

  1. Those that, in execution of an Order, carry out works at a BBC-LLP branch, shall comply with the relevant regulations. BBC-LLP shall not be held liable for any accident occurred to said subjects in any BBC-LLP plant/branch.

SUPPLY OF MATERIALS

  1. Materials, components, containers and special packaging supplied by BBC-LLP, shall remain its property. The same shall only be used for their foreseen purpose. Materials shall be worked and components shall be assembled on behalf of BBC-LLP. It is understood that, proportionally to the value of the components supplied by BBC-LLP compared to that of the whole product, BBC-LLP shall be the co-owner of the goods manufactured with its materials and components; the Supplier undertakes to keep said products safe in the interest of BBC-LLP.

CONFIDENTIALITY AND SECRECY

  1. The Supplier shall keep confidential all commercial and technical information made available by BBC-LLP (including data obtained from items, documents or software and any other information or experience); and the results of works carried out for the Contract, expect for anything already of public knowledge (hereinafter also referred to as “Confidential Information”). Confidential Information shall only be made available in the Supplier’s office for people needing it to complete the BBC-LLP supply agreement. Such people shall undertake to maintain said confidentiality. Confidential Information is exclusively owned by BBC-LLP and cannot be duplicated or used commercially – exception made for deliveries addressed to BBC-LLP – without BBC-LLP’s prior written consent. Upon BBC-LLP’s request, all Confidential Information communicated by BBC-LLP (including any existing copy or recoding), as well as any good or tool granted by BBC-LLP to the Supplier, shall be immediately returned or destroyed with evidence. All rights on said Confidential Information belong to BBC-LLP (including patent and intellectual rights). Said reserve applies also to information provided by third parties.
  2. Goods manufactured based on documentation like drawings, models and similar, set up by BBC-LLP or based on confidential information belonging to BBC-LLP, shall never be used by the Supplier outside the Contract with BBC-LLP, nor offered or transferred to third parties. The above also applies to BBC-LLP’s Orders.

  3. The services rendered to BBC-LLP by the Supplier, or parts or elements of the same, shall not be supplied to third parties in the same way for a five-year period from their execution, unless the technology they are based on belongs to the general state of art and knowledge.
  4. With regard to the technical and commercial information received from BBC-LLP to carry out the service, the confidentiality obligation shall also continue after execution and conclusion of the Contract, until and to the extent that such information becomes of public knowledge for reasons not related to the Supplier, or in case BBC-LLP waives such confidentiality commitment in writing.

AUTONOMY OF THE SINGLE CLAUSES AND AMENDMENTS

  1. Each term or condition of this Contract constitutes an autonomous and independent provision: if one or more provisions of this Contract are held to be invalid or ineffective, the remaining provisions will continue, to the extent permitted by law, to be valid and effective.
  2. The Supplier expressly agrees that BBC-LLP reserves the right to amend the terms and conditions provided in these General Conditions ("Changes") at any time, without the obligation to notify the Supplier of the Changes. Any Changes will be noticed on the BBC-LLP’s Website, so that the Supplier continues to supply the Products even after the communication of Changes to the Website will be deemed to have expressly agreed to such Changes.

COMUNICATIONS

  1. All the communications addressed to BBC-LLP must be made in writing, providing evidence of delivery and receipt.

JURISDICTION

  1. This SGC are governed by English Law and any dispute relating to their interpretation or their execution will be submitted to the Courts of London.

    21.1 The Contract is governed by English Law and any dispute relating to its interpretation or its execution will be submitted to the Courts of London.

The Supplier agrees to use the Reserved Area and web-software contained therein for lawful purposes and in accordance with the Regulations, and therefore, is expressly forbidden to assign, transfer, distribute, resell or provide access to any third party that is not a representative or employee.

It is expressly forbidden for the Supplier to use the Reserved Area and web software services to transmit, distribute or store material that contains viruses, worms, trojans or other harmful components or that are illegally intrusive.

It is expressly forbidden for Supplier to use the Reserved Area and/or web software services in order to allow anyone the misappropriate use of personal information, breach, mitigation or otherwise violation of privacy or other personal rights or intellectual property, including without limitation, copyright Laws and the protection of patents, trademarks, trade secrets or other proprietary rights.

RESPONSIBILITY FOR THE CONTENT IN THE RESERVED AREA AND WEB-SOFTWARE SERVICES

BBC-LLP does not assume responsibility for the contents in the Reserved Area and web software services nor the news, information, document exchange or content of any kind that occurs through the use of the functions provided from the Reserved Area and web software. BBC-LLP does not monitor or exercise any editorial control over the content of documents in the Reserved Area, therefore, the Supplier is solely responsible for the content in the above-mentioned documents and its eventual storage.

INAPPROPRIATE OR ILLEGAL CONTENT

It is expressly forbidden for the Supplier to utilize the Reserved Area and / or web services software, to transmit, distribute or store inappropriate or illegal material, defamatory, indecent, obscene, pornographic that promotes gambling online or contrary to morality or that is generally contrary to the law or practice. Therefore, the Supplier warrants that the usage of the Reserved Area and web software services does not violate any national or international law or regulation, including, but not limited to, the laws relating to the distribution, encryption or exporting of the content or any right of any third party.

FRAUDULENT AND MISLEADING CONTENT

It is expressly forbidden for the Supplier to utilize the Reserved Area and web software services to transmit or distribute material containing fraudulent offers for goods and / or services or any advertising or promotional material containing statements, false claims or representations, deceptive or misleading or that compromise the image and integrity of BBC-LLP.

E-MAIL AND SPAM

It is expressly forbidden that the Supplier utilize the Reserved Area and web software services to send publications or unsolicited e-mail messages, including, without limitation, including for example, commercial advertising or informational advertisements by mass spamming; it is also expressly forbidden for the Supplier to:

  1. send e-mail publications or excessive email messages and/or with the intent to bother or disturb the recipient;
  2. continue to send publications or e-mail messages to a recipient who has already expressed the desire not to receive;
  3. publications or send e-mail messages with forged headers;
  4. send e-mail publications or dangerous e-mail messages, including, for example, "mailbombing".

All costs and expenses incurred by BBC-LLP for the management of eventual claims resulting from the unlawful conduct of the Supplier will be charged to the Supplier.

SECURITY VIOLATION

It is expressly prohibited for the Supplier to violate or attempt to violate the security of the Reserved Area and the web software services and any network, system, server or third party account. In that regard, but not limited to, the Supplier is expressly prohibited the following activities:

  1. access to data, servers, accounts, databases, etc. without authorization;
  2. attempt to survey, scanning or testing the vulnerability of a system;
  3. breach of the security or authentication measures without authorization;
  4. attempt to interfere, disturb or disactivate Service against any other Supplier;
  5. counterfeit documentation;
  6. action in order to obtain unauthorized Services or for which you have not been authorized;
  7. attempt to use an account name or identity of any third party without having received authorization.

RIGHTS AND REMEDIES OF BRIGHT BUSINESS CONSULTING LLP

Should the Supplier become aware of eventual content or activity that violates the Regulations they shall immediately prevent such content from being sent, transmitted or stored on the Reserved Area and on the web-software services.

If BBC-LLP becomes aware of eventual content or activities, which in its sole discretion, violate the Regulations, they may immediately block access to such content, suspend or discontinue access, Services and / or take any other action deemed appropriate.

BBC-LLP will make every effort to notify the Supplier in advance of eventual suspension or termination of your access to the Reserved Area or web software services.

LIMITATIONS OF LIABILITY

BBC-LLP shall not be liable for any damage of any kind incurred to the Supplier as a result of the usage of the Reserved Area and / or web software.

The Supplier expressly undertakes to:

  1. indemnify and hold harmless BBC-LLP for all damages, claims, causes, costs or expenses incurred in connection with any breach of the Regulations;
  2. waive any right to reimbursement and/or compensation in connection with interruptions of usage or access to the Reserved Area and / or to the web software services owned resulting from a violation of the Regulations.

Contract - the CGC together with the Form.

Party or Parties - BBC-LLP and /or the Originator when indicated, respectively, individually or jointly.

Price List - the document that shows the cost or price of every Service published on the Website.

Rules of the Reserved Area – Regulation (IUCAR) - refers to the regulations contained in Annex 1 of OGC.

Fee/s – the amounts envisaged by clause 3 of the OGC.

The definitions given above, together with those contained in these OGC, apply within the OGC of the Contract and Form(s).

WHEREAS

  1. BBC-LLP carries on business in the international consulting field by providing the Services listed and better described in the Website.

    1.2 BBC-LLP, in order to conduct its business, whishes to be provided for with the activity conducted by the Originator to ease the introduction of BBC-LLP with potential customers.

    1.3 the Originator has the skills and knowledge of the market useful to procure to BBC-LLP’s potential customers and has already informally expressed its availability to enter into the Contract.

    1.4 BBC-LLP, having positively evaluated the Originator, will provide him a user ID (hereafter “USER") and a password (hereafter "PSW"), in order to access the Reserved Area in the Website.

SUBJECT

  1. With the Contract, the Originator shall assume the task to promote the conclusion of contracts for the provision of the Services (hereinafter the "Supply of Services Contract/s") between BBC-LLP and third parties (individuals, corporate entities or institutions) interested in the conclusion of such contracts (hereinafter "Potential Customers"). The Originator undertakes no obligation to steadily promote the conclusion of the Supply of Services Contracts since the Contract implies the occasional indication to BBC-LLP of the proposals collected by the Originator. the Contract does not give the Originator the power to negotiate or conclude agreements or assume obligations, in any form, in name of or on behalf of BBC-LLP, nor can act as an agent or representative thereof, whose only role will be to receive for BBC-LLP, if the opportunity arises, the indication of any proposed Supply of Services Contracts. This Agreement does not in any way limit BBC-LLP’s right to appoint agents or brokers. The Originator undertakes to notify BBC-LLP the Potential Customer’s interest by completing the submission form (hereinafter "Submission Form") located in the Reserved Area of the Website or directly provided by BBC-LLP, in paper form. Each indication by the Originator will be replied by a declaration by BBC-LLP, certifying the acknowledgment of the indication.

ORIGINATOR’S COMPENSATION

  1. In the event that the Supply of Services Contracts procured by the Originator are actually executed, BBC-LLP will pay the Originator a provisional compensation – as indicated each time into Submission Form, in consideration of the Services relating the activity performed by the Originator (hereinafter "Fee"). The Fee will be paid by BBC-LLP to the Originator by means of a bank wire transfer to an indicated bank account, upon receiving an invoice, within 60 days from the issue of such invoice. The Fee covers all the possible expenses that the Originator may incur, for any reason, in carrying out the activity provided in favor of BBC-LLP. It is understood that, in the event that the negotiations between BBC-LLP and the Potential Customer do not have a positive outcome, or if following the signing of the Supply of Services Contracts, BBC-LLP’s counterparty fails to pay the amount accrued by BBC-LLP, any Fee or any indemnity or compensation will not be due to the Originator. BBC-LLP also reserves the right to accept or reject, at its sole discretion, and in the second case, without any money being owed to the Originator, the proposals for the Supply of Services Contracts from time to time originated by the Originator. It is expressly understood and agreed, that the Originator is entitled to receive the Fee exclusively on the first or sole Supply of Services Contracts entered into by BBC-LLP with the Potential Customer trough to the indication of the Originator, unless where the Originator originate for the same Potential Client, an indication for a different Service, by forwarding a new Submission Form to BBC-LLP.

AUTONOMY

  1. The assignment will be carried out by the Originator personally and/or through its employees, partners or consultants, without any relationship of subordination or employment status in relation to BBC-LLP. It is understood that BBC-LLP will have no relationship of any kind with the agreements entered into between Originator and third parties, in relation to attaining the outcomes of the Contract.

PRIVACY AND CONFIDENTIALITY OBLIGATION

  1. personal Data (hereafter also “Personal Data”), provided by the Originator will be used exclusively by BBC-LLP for the fulfillment of the obligations arising from the Contract and shall be processed and stored, including by electronic means in compliance with the applicable laws. The person at BBC-LLP in charge of processing the Originator’s Personal Data is the signer of the Contract.

DURATION AND TERMINATION

  1. The Contract shall be concluded for an indefinite period from the date of receipt of the USER and PSW by which the Originator shall be granted of accessing the Website’s Reserved Area, it being understood that each Parties is entitled to terminate this Contract at any time and for any reason by noticing by overnight courier and the other Party has nothing to oppose or demand. The termination will be effective from the date of receipt of such termination notice. It is understood that the Reserved Area will be made available to the Originator for a limited period of 7 (seven) days from the date of receipt of the USER and PSW. After this period, in the absence of indications, access to the Reserved Area will be inhibited and the Originator will need to request BBC-LLP for a new authorization.

COMUNICATIONS

  1. All the communications addressed to BBC-LLP must be made in writing, providing evidence of delivery and receipt.

JURISDICTION

  1. This OGC are governed by English Law and any dispute relating to their interpretation or their execution will be submitted to the Courts of London.

ANNEX 1 - INFORMATION ON THE PROHIBITED USE OF THE RESERVED AREA

REGULATION (IUCAR)

This Regulation (IUCAR) - (“Regulation”) sets out the guidelines for the proper usage of the Reserved Area and web software applications related thereto owned and/or in the possession of BBC-LLP made accessible to the Originator for either a fee or free of charge. All behavior contrary to the provisions in the Regulations will be considered to be prejudicial to BBC-LLP and make the Originators liable for damages claimed by BBC-LLP.

Access to the Reserved Area and/or the usage of web-software and it contents presupposes the preventive and full acceptance of the Regulation by the Originator.

WHEREAS

  1. BBC-LLP carries on business in the international consulting field by providing the Services listed and better described in the Website.

    1.2 BBC-LLP, in order to conduct its business, is constantly looking for professionals that are able to provide consulting related to the Services to promote and adequately illustrate Services to its Customers.

    1.3 BBC-LLP, having positively evaluated the Consultant, will provide him a user ID (hereinafter “USER") and a password (hereinafter "PSW"), in order to access the Reserved Area in the Website.

SUBJECT

  1. With the Contract the Consultant assumes the task to provide consulting advice relating to the Services as specified in specific Form, annex A (hereinafter referred to as "Annex A") and promote the Services, as well as, possibly promote the signing of contracts for the supply thereof (hereinafter referred to as "Supply of Services Contract/s") to third parties (individuals, legal persons, entities or organizations) that will be indicated to the Consultant directly by BBC-LLP (hereinafter "Customer" or "Customers").

BBC-LLP CONSULTANT OBLIGATIONS

  1. The Consultant is committed to: (a) provide Customers the best technical consulting advice regarding the matters relating to the Services, in an indicative and not excessive way: (i) investigating and going deeper in the various topics and areas of interest discussed, (ii) identificating of the most suitable Services as a result of the analysis of the Customer’s situation, (iii) submitting and illustrating of the Services deemed useful to the Customer and relevant implementation; (b) promote and encourage the provision of Services to Customers in compliance with the guidelines and conditions, in particular business conditions, reported by BBC-LLP; (c) arrange in a suitable manner, in the best and most efficient way, the promotional activities, providing the organization necessary for the work performance and bearing the costs and risks related to it; (d) ensure the achievement of the objectives set by BBC-LLP as specified in specific Form, annex B/1 (hereinafter "Annex B/1"), (e) constantly keep BBC-LLP informed of market conditions (activities of competitors, etc..), as well as timely respond to any request of BBC LLP relating to specific information that the latter believed to be important, as long as it is relevant to the activities governed by the Contract; (f) timely inform BBC-LLP if not able to carry out the duties, even temporarily; (g) immediately inform BBC-LLP of any observations or complaints, for any reason, received from the Customer and related to the Services without being able in any way commit BBC-LLP, except upon specific written permission to do so; (h) return at anytime, after simple request from BBC-LLP and waving to challenge , all the technical material or advertising publications in its possession supplied for the execution of the Contract; (i) act dutifully and in good faith and in a manner that does not violate or damage the business reputation of BBC-LLP and its Services. The Consultant is expressly forbidden to collect sum/payment by use of any title due to BBC-LLP except in cases where there is an express exception in writing by BBC-LLP; it is also expressly forbidden to modify or derogate from the general conditions of the Contract and/or any other intervening agreement between BBC-LLP and its Customers, except in cases in which such circumstances are not authorized and regulated in writing by BBC-LLP.

BBC-LLP OBLIGATIONS

  1. BBC-LLP is committed to:

    (a) provide the Consultant technical documentation and/or promotional material related to the Services;

    (b) provide the Consultant the information necessary for proper execution of the assignment;

    (c) where possible, notify the Consultant, within a reasonable time, of the acceptance or rejection of an order/request.

COMPENSATION

  1. In relation to the consulting advice given by the Consultant, BBC-LLP will recognize a compensation in the amount as specified in specific Form, annex B/2 (hereinafter respectively "Fee" e "Annex B/2"). The Fee will be paid by BBC-LLP to the Consultant by means of a wire transfer to an indicated account, along with the issuing of a regular invoice within 60 days from the issue of such invoice.

    5.1 If the Consultant travels away from the offices of London, the Customer will pay a further sum consisting of:

    (a) a fixed amount of (three hundred) GBP 300.00 a day;

    (b) an amount equal to the reasonable expenses that exceed the amount provided in letter (a) and actually paid for the duration of the trip by the Consultant; all the said further sums under (a) and (b) must be justified by appropriate supporting documents and will be charged to BBC-LLP. It is understood, that in the event that the Customer does not require any Service or after the signing of the Supply of Services Contracts, the counterparty of BBC-LLP fails to pay the amount accrued by BBC-LLP, any Fees or any indemnity or compensation will not be due to the Consultant.

AUTONOMY

  1. The assignment will be carried out by the BBC-LLP personally and/or through its employees, partners or consultants, without any relationship of subordination or employment status in relation to BBC-LLP. It is understood that BBC-LLP will have no relationship of any kind with the agreements entered into between the Consultant and third parties, in relation to attaining the outcomes of the Contract.

NON-COMPETE

  1. The Consultant undertakes for the duration of the Contract and for a further 5 (five) years from the end of the Contract not to represent or provide, directly and/or indirectly, without the prior written consent of BBC-LLP, products competing with the Services, or act directly and/or indirectly, as an agent, broker, dealer, reseller, consultant with interest to third parties that provide or distribute products competing with the Services. Even during the period of validity of this agreement, the Consultant is free to give consulting services, represent, distribute or manufacture products or services that are not competitive (provided they are not in the interest of competing parties), so long as prior notice to that effect is given to BBC-LLP. BBC-LLP will be free to immediately terminate the Contract without notice, in the event that the activities practiced by the Consultant referred to in the previous period affects or could affect BBC-LLP's business image or the timely fulfillment of these contractual obligations.

PRIVACY AND CONFIDENTIALITY OBLIGATION

  1. Personal data (hereinafter also “Personal Data”), provided by the Consultant will be used exclusively by BBC-LLP for the fulfillment of the obligations arising from the Contract and shall be processed and stored, including by electronic means in compliance with the applicable laws. The person at BBC-LLP in charge of processing the Personal Data of BBC-LLP’s Consultant is the signatory of the Contract. The Consultant expressly undertakes not to disclose to third parties, in whole or in part, BBC-LLP’s confidential information and/or of the Customer or other information in which has any knowledge in virtue of the fulfillment of the Contract and is committed to keep all information strictly confidential, as such, will be classified.

DURATION, TERMINATION, RESOLUTION

  1. The Contract is for an indefinite period, each Party shall have the right to terminate the Contract at any time by notifying the other Party with notice not less than sixty (60) days. The Contract shall automatically terminate upon the occurrence of one of the following causes: (i) failure of the Consultants obligation referred to in paragraph 3 (i); (ii) failure by the Consultant non-competition obligation referred to in paragraph 7; (iii) failure by the Consultant of the confidentiality obligation referred to in paragraph 8; (iv) occurrence of a cause not attributable to any of the Parties that make it impossible to perform one or more of its obligations for a period exceeding ten (10) days, subject to the Consultants right to compensation for the service(s) rendered.

COMMUNICATIONS

  1. All the communications addressed to BBC-LLP must be made in writing, providing evidence of delivery and receipt.

JURISDICTION

  1. This CGC are governed by English Law and any dispute relating to their interpretation or their execution will be submitted to the Courts of London.

ANNEX 1 - INFORMATION ON THE PROHIBITED USE OF THE RESERVED AREA

REGULATION (IUCAR)

This Regulation (IUCAR) - (“Regulation”) sets out the guidelines for the proper usage of the Reserved Area and web software applications related thereto owned and/or in the possession of BBC-LLP made accessible to the Consultant for either a fee or free of charge. All behavior contrary to the provisions in the Regulations will be considered to be prejudicial to BBC-LLP and make the Consultants liable for damages claimed by BBC-LLP.

Access to the Reserved Area and/or the usage of web-software and it contents presupposes the preventive and full acceptance of the Regulation by the Consultant.

The Regulation is divided into the following sections:

GENERAL CONDUCT

The Consultant agrees to use the Reserved Area and web-software contained therein for lawful purposes and in accordance with the Regulations, and therefore, is expressly forbidden to assign, transfer, distribute, resell or provide access to any third party that is not a representative or employee.

It is expressly forbidden for the Consultant to use the Reserved Area and web software services to transmit, distribute or store material that contains viruses, worms, trojans or other harmful components or that are illegally intrusive.

It is expressly forbidden for Consultant to use the Reserved Area and/or web software services in order to allow anyone the misappropriate use of personal information, breach, mitigation or otherwise violation of privacy or other personal rights or intellectual property, including without limitation, copyright Laws and the protection of patents, trademarks, trade secrets or other proprietary rights.

RESPONSIBILITY FOR THE CONTENT IN THE RESERVED AREA AND WEB-SOFTWARE SERVICES

BBC-LLP does not assume responsibility for the contents in the Reserved Area and web software services nor the news, information, document exchange or content of any kind that occurs through the use of the functions provided from the Reserved Area and web software. BBC-LLP does not monitor or exercise any editorial control over the content of documents in the Reserved Area, therefore, the Consultant is solely responsible for the content in the above-mentioned documents and its eventual storage.

INAPPROPRIATE OR ILLEGAL CONTENT

It is expressly forbidden for the Consultant to utilize the Reserved Area and / or web services software, to transmit, distribute or store inappropriate or illegal material, defamatory, indecent, obscene, pornographic that promotes gambling online or contrary to morality or that is generally contrary to the law or practice. Therefore, the Consultant warrants that the usage of the Reserved Area and web software services does not violate any national or international law or regulation, including, but not limited to, the laws relating to the distribution, encryption or exporting of the content or any right of any third party.

FRAUDULENT AND MISLEADING CONTENT

It is expressly forbidden for the Consultant to utilize the Reserved Area and web software services to transmit or distribute material containing fraudulent offers for goods and / or services or any advertising or promotional material containing statements, false claims or representations, deceptive or misleading or that compromise the image and integrity of BBC-LLP.

E-MAIL AND SPAM

It is expressly forbidden that the Consultant utilize the Reserved Area and web software services to send publications or unsolicited e-mail messages, including, without limitation, including for example, commercial advertising or informational advertisements by mass spamming; it is also expressly forbidden for the Consultant to:

  1. send e-mail publications or excessive email messages and/or with the intent to bother or disturb the recipient;
  2. continue to send publications or e-mail messages to a recipient who has already expressed the desire not to receive;
  3. publications or send e-mail messages with forged headers;
  4. send e-mail publications or dangerous e-mail messages, including, for example, "mailbombing".

All costs and expenses incurred by BBC-LLP for the management of eventual claims resulting from the unlawful conduct of the Consultant will be charged to the Consultant.

SECURITY VIOLATION

It is expressly prohibited for the Consultant to violate or attempt to violate the security of the Reserved Area and the web software services and any network, system, server or third party account. In that regard, but not limited to, the Consultant is expressly prohibited the following activities:

  1. access to data, servers, accounts, databases, etc. without authorization;
  2. attempt to survey, scanning or testing the vulnerability of a system;
  3. breach of the security or authentication measures without authorization;
  4. attempt to interfere, disturb or disactivate Service against any other Consultant;
  5. counterfeit documentation;
  6. action in order to obtain unauthorized Services or for which you have not been authorized;
  7. attempt to use an account name or identity of any third party without having received authorization.

RIGHTS AND REMEDIES OF BRIGHT BUSINESS CONSULTING LLP

Should the Consultant become aware of eventual content or activity that violates the Regulations they shall immediately prevent such content from being sent, transmitted or stored on the Reserved Area and on the web-software services.

If BBC-LLP becomes aware of eventual content or activities, which in its sole discretion, violate the Regulations, they may immediately block access to such content, suspend or discontinue access, Services and / or take any other action deemed appropriate.

BBC-LLP will make every effort to notify the Consultant in advance of eventual suspension or termination of your access to the Reserved Area or web software services.

LIMITATIONS OF LIABILITY

BBC-LLP shall not be liable for any damage of any kind incurred to the Consultant as a result of the usage of the Reserved Area and / or web software.

The Consultant expressly undertakes to:

  1. indemnify and hold harmless BBC-LLP for all damages, claims, causes, costs or expenses incurred in connection with any breach of the Regulations;
  2. waive any right to reimbursement and/or compensation in connection with interruptions of usage or access to the Reserved Area and / or to the web software services owned resulting from a violation of the Regulations.

USER ACCOUNT E PASSWORD

To the Consultant may be provided with a user ID (hereafter also “USER”) and password (hereafter also “PSW”) to use for access to the Reserved Area on BBC-LLP’s Website and/or the usage of web-software services.

BBC-LLP has expressly reserved the right for removing to the Consultant, and, at any time, USER and PSW and/or inhibit the new access into the Reserved Area and/or to web-services, without have to none information and/or reasons in front of the Consultant.
